German seafreight and airfreight business sold to Scandinavian group

WCL contacted 18 potential buyers of which 4 made an attractive offer. The final bidder and purchaser was a Scandinavian logistics group with limited reach in the German market. WCL organised the LOI negotiations, managed the due diligence and orchestrated the final SBO negotiations, which resulted in a very successful outcome for the sellers.

The WCL M&A System

  • First step: WCL identified suitable bidders with a strategic fit to the sellers’ vision.
  • Second step: We prepared appropriate company information and distributed it to the potential buyers.
  • Third step: We selected the most interested buyers, signed an NDA and arranged a first meeting with the sellers.

WCL had to manage various negotiations with potential buyers and the due diligence process in a rather sensitive market, while trying to manage the entire sales process without causing any disruption to the day-to-day business.

After intensive negotiations with the final bidders, the sellers decided to enter into due diligence and later SPO negotiations with the buyer who showed the best cultural and operational fit. During the final negotiations and the subsequent integration discussions, it became clear that the combination of the two companies was a positive outcome for all parties involved, in addition to a very good financial outcome for the sellers.
