It was essential for the buyer that the seller’s management stayed on board and eventually lead the entire Dutch organisation. Therefore, not only the transaction price but also the common understanding on how to manage the larger Dutch organisation played a very important role.

The deal combined a management contract with a mutually beneficial SPO. This gave the sellers the opportunity to manage a larger organisation and support the buyer’s strategy to grow in the Netherlands.
