Brazilian import specialist sold to global logistics provider

A customs clearance and import forwarder in Brazil was looking for a strategic investor with a global network and an office in Miami.

WCL was mandated to sell and found the right partner who was looking for a first step into the Brazilian market.

We introduced the companies and supported the negotiations to complete the deal with a satisfactory outcome for both parties.

The WCL M&A System

  • First step: WCL analysed the market to find a suitable strategic investor who would properly value the business in Brazil and be able to integrate its services without jeopardising existing customer relationships.
  • Step two: We introduced the management of both parties and facilitated a first meeting following the signing of an NDA.
  • Step three: We helped align the interests of both parties during the negotiations and managed the process to a successful conclusion for both companies.

It was essential for the seller to be able to continue as a manager in the new set-up and to integrate his team into the new organisation. The vendor was particularly keen to retain the customs expertise and grow the forwarding business through this particular strength.

The buyer met the seller’s expectations perfectly. The deal included a positive working environment for the seller and his team and the purchase price was in line with his expectations.
